- A Sponsor is provided with an exemption from the fund-raising provisions of the Corporations Act when calling attention to offers of securities (shares).
- By appointing a Sponsor, the issuer or seller is then also covered by this exemption. This exemption allows, under certain conditions, an offer to issue or sell securities to be advertised in ASSOBs subscription-based publications.
- An offer to issue or sell securities can be made for up to $5 million without having to prepare and lodge full disclosure documentation (such as a prospectus) with the ASIC.
- ASSOB also provides a restricted secondary sale platform to enable early stage investors to exit.
Process & Costs
Application, listing and ongoing fees apply when the company is listed on ASSOB. These fees and commissions help fund the continued growth of the ASSOB platform, making it accessible to an ever broader range of investee companies.
In addition, our time and expertise at SalesMonkey is remunerated either by direct project based fees or commissions on the funds raised while your company is on ASSOB.
Finally, you should expect various administrative costs, including the costs of establishing a Limited Company, Share Registry fees etc.
Under Section 122 of the Corporations Act, the expenses incurred before registration in promoting and setting up a company may be paid out of the company’s assets.
